This End User License Agreement ("Agreement") is between Great Work LLC ("Great Work", "we") and the entity that installs or uses Termbook: Glossary and Acronyms for Confluence ("Customer", "you"). By installing or using the app you agree to this Agreement. If you accept on behalf of an organisation, you confirm you can bind it.
1. License. Subject to this Agreement and payment of the applicable fees through the Atlassian Marketplace, Great Work grants you a non-exclusive, non-transferable, non-sublicensable license during your subscription term to use the app with your Atlassian Confluence Cloud site, for your internal business purposes, for the number of users you have paid for.
2. Purchase and billing. The app is sold through the Atlassian Marketplace. Prices, billing, renewals, refunds and taxes are governed by Atlassian's Marketplace terms. Evaluations (free trials) may be changed or withdrawn as Atlassian's Marketplace policies allow.
3. Restrictions. You will not: (a) copy, modify, or create derivative works of the app except as allowed by law; (b) reverse engineer or attempt to extract its source code, except where the law allows it despite this restriction; (c) resell, rent or provide the app to third parties as a service; (d) use the app to break the law or infringe others' rights; or (e) attempt to bypass licensing or security controls.
4. Your data. You own the content you put into the app ("Customer Data"). The app stores Customer Data only in your Atlassian site's Forge storage, operated by Atlassian. You grant Great Work the limited rights needed to provide the app and support. Our handling of data is described in the Termbook Privacy Policy, which is part of this Agreement.
5. Feedback. If you send suggestions, we may use them without obligation to you.
6. Ownership. Great Work and its licensors own the app, including all intellectual property rights. No rights are granted except those expressly stated.
7. Support and updates. We provide support through our support portal as described in the app documentation, and may update the app from time to time. Updates may add, change or remove features, but we will not materially reduce the core function of the app during a paid term.
8. Warranty disclaimer. The app is provided "as is" and "as available". To the maximum extent permitted by law, Great Work disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be error free or uninterrupted, or that glossary definitions entered by your users are accurate.
9. Limitation of liability. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of their possibility. Great Work's total liability arising out of this Agreement will not exceed the fees you paid for the app in the 12 months before the event giving rise to the claim.
10. Indemnity. Great Work will defend you against third-party claims that the app, as provided by us, infringes their intellectual property rights, and pay resulting damages finally awarded, provided you notify us promptly, let us control the defence, and cooperate. This does not apply to claims arising from Customer Data, your modifications, or combination with items we did not provide.
11. Term and termination. This Agreement lasts while you have an active subscription or evaluation of the app. Either party may terminate it if the other materially breaches it and does not cure within 30 days of notice. On termination, your license ends. You can export your glossary to CSV before uninstalling; after uninstall, Atlassian deletes the app's storage for your site.
12. Compliance. You will comply with applicable export control and sanctions laws in using the app.
13. General. This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of laws rules, and disputes will be resolved in the courts located in Delaware. If a provision is unenforceable, the rest remains in effect. This Agreement, the Privacy Policy and the Atlassian Marketplace terms are the entire agreement on this subject. We may update this Agreement with notice at this URL; changes apply to renewals after the notice. You may not assign this Agreement without our consent, except with a merger or sale of substantially all your assets.
